bcm upgrade issues 3.7-4.0

I tried twice to upgrade 2 different bcms from 3.7 to 4.0. Both times i ran into the same troubles. I don't have access to the the net from the sites with my laptop so i downloaded the keycode file to the customers pc then put it onto a usb key and tried to use it from the usb key and from my desktop. When the upgrade starts you put the ip addy in and pick the location for the keycode file. It goes through the preupgrade checks and then I get and error that stops the upgrade. it says "problem with keycode file. return value is 3" i also got it with a value of 7. redownloaded the keys tried it several times and still same result. i run the upgrade through the customer pc that i downloaded the keycode file to and it works. i am not sure what is going on with my laptop any suggestions?

i found out that it was my usb was corrupting the keycode lic file. the usb key works fine for anyother files. boufght a new one and can do the upgrade.
